Main types of Company Incorporation

Wholly Foreign Owned Enterprise(WFOE)

WFOE also known as Wholly Foreign Owned Enterprise refers to the company setup in China where shares of the company are wholly owned by the foreign investors. There are some types of foreign companies as following:

A.Base on different industries:

Trading WFOE, manufacturing WFOE, Consulting WFOE, Food and beverage WFOE, etc.

B.Based on shareholder:

Individuals or foreign company can be the shareholder.

Representative Office(RO)

A representative office is an office set up within the territory of China engaged in non-profit activities related to the business of foreign enterprises. The RO does not have the status of a legal person and is not entitled to engage in profit-making activities.

A representative office is only entitled to engage in the market research, exhibitions, and publicity activities related to the products or services of foreign enterprises and the liaison activities related to foreign enterprises’ product sales, service delivery, domestic sourcing, and domestic investment.

Joint Venture Enterprise/Partnership

A Joint Venture Enterprise is a Collaboration Agreement whereby the foreign party & the resident investors from China are part of the contract to create an organization for long-term value creation.

Foreign investors are entitled to set up general partnerships and limited partnerships within the territory of China.

Now a foreign individual and a Chinese individual can set up a partnership company(中外合资).
